Project Handover, Support, and User Responsibility Terms and Conditions

These Project Handover, Support, and User Responsibility Terms and Conditions (the "Agreement") govern the terms of project handover documentation, support services, and user responsibilities provided by Cybros Infotech Pvt Ltd ("Vendor") to [Client Company] ("Client"). Please carefully review these terms before accepting the project handover. By accepting the handover, you agree to be bound by this Agreement.

1. Project Handover Documentation: a. Vendor shall provide Client with comprehensive project handover documentation, including but not limited to source code, documentation, user manuals, technical specifications, and any necessary files or assets related to the project. b. The project handover documentation shall be provided in a format agreed upon by the Parties and delivered to the Client promptly after the project handover.

2. Support Period: a. All projects include a support period of 3 months following the project handover. b. During the support period, the Vendor shall provide bug fixing and technical support to address any issues or errors directly related to the original project development. c. Support shall be provided by the agreed-upon response and resolution times specified in the Project Agreement or Statement of Work (SOW).

3. Annual Maintenance Contract (AMC): a. After the initial 3-month support period, any ongoing support required by the Client shall be subject to an Annual Maintenance Contract (AMC) or as otherwise agreed upon in writing between the Parties. b. The AMC shall specify the duration, fees, and scope of support to be provided by the Vendor beyond the initial support period.

4. User Responsibility: a. Upon project handover, the Client assumes full responsibility for the proper use, configuration, and administration of the project. b. Client acknowledges that any changes, mistakes, misconfigurations, or issues arising from user actions or administration after the project handover shall be the sole responsibility of Client. c. The vendor shall not be held liable for any consequences or damages resulting from user actions or administration after the project handover.

5. Development Charges: a. If the Client requires any additional development, modifications, or enhancements to the project beyond the support period, development charges shall apply. b. The development charges shall be based on factors such as the technology involved, the complexity of the task, and the urgency of the request. c. The specific development charges applicable to the Client's request shall be communicated and agreed upon in writing before commencing the work.

6. Intellectual Property: a. Upon project handover, ownership of the intellectual property developed by the Vendor during the project shall be transferred to the Client, unless otherwise agreed upon in writing. b. Client shall have the right to use, modify, and distribute the project deliverables for its intended purpose.

7. Limitation of Liability: a. Vendor shall not be held liable for any indirect, incidental, special, or consequential damages arising out of or in connection with the use or performance of the project. b. In no event shall the Vendor's total liability exceed the total fees paid by the Client for the project.

8. Governing Law and Jurisdiction: a. This Agreement shall be governed by and construed by the laws of the jurisdiction specified in the Project Agreement or SOW. b. Any disputes arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts in the same jurisdiction.

By accepting the project handover, you acknowledge that you have read, understood, and agreed to be bound by the terms and conditions outlined in this Agreement, including the user responsibilities outlined.
