Employee Outsourcing Terms and Conditions

These Employee Outsourcing Terms and Conditions (the "Agreement") govern the engagement of outsourced employees or contractors ("Outsourced Employees") by [Client Company] ("Client") from Cybros Infotech Pvt Ltd ("Vendor"). Please carefully review these terms before entering into an employee outsourcing agreement with Vendor. By engaging Outsourced Employees, you agree to be bound by this Agreement.

1.      Engagement of Outsourced Employees: a. Client may engage Outsourced Employees from Vendor to fulfill specific roles or projects within Client's organization. b. The engagement of Outsourced Employees shall be subject to the terms and conditions outlined in this Agreement and any additional written agreements between Client and Vendor.

2.      Services and Responsibilities: a. Vendor shall provide qualified and skilled Outsourced Employees to perform the agreed-upon services as specified in the engagement agreement or statement of work. b. The responsibilities, duties, and deliverables of the Outsourced Employees shall be clearly defined and agreed upon by both parties in writing.

3.      Engagement Period: a. The engagement period of the Outsourced Employees shall be specified in the engagement agreement or as otherwise agreed upon in writing between the Client and Vendor. b. Either party may terminate the engagement of an Outsourced Employee with reasonable notice or as specified in the agreement.

4.      Compliance with Laws and Regulations: a. Vendor shall ensure that all Outsourced Employees comply with applicable laws, regulations, and industry standards. b. Client shall provide Vendor with any necessary information or documentation required to fulfill legal and regulatory obligations.

5.      Confidentiality and Data Protection: a. Both parties shall maintain the confidentiality of any confidential information or proprietary data disclosed during the engagement. b. The vendor shall implement appropriate measures to protect data privacy and comply with applicable data protection laws.

6.      Intellectual Property: a. Any intellectual property rights arising from work performed by the Outsourced Employees shall be owned by the Client unless otherwise agreed upon in writing. b. Vendor and Outsourced Employees shall promptly assign any intellectual property rights to the Client upon request.

7.      Payment and Billing: a. Client shall pay Vendor for the services rendered by the Outsourced Employees by the agreed-upon payment terms and rates specified in the engagement agreement or statement of work. b. The vendor shall provide accurate and timely invoices to the Client for the services rendered by the Outsourced Employees.

8.      Liability and Indemnification: a. Vendor shall not be held liable for any damages, losses, or claims arising out of the actions, omissions, or misconduct of the Outsourced Employees. b. Client shall indemnify and hold Vendor harmless against any claims, liabilities, or expenses arising from the engagement of the Outsourced Employees.

9.      Termination: a. Either party may terminate the engagement of an Outsourced Employee for breach of this Agreement or as otherwise specified in the engagement agreement. b. Termination shall not relieve either party of their obligations or liabilities accrued before the termination date.

10.  Governing Law and Jurisdiction: a. This Agreement shall be governed by and construed by the laws of the jurisdiction specified in the engagement agreement. b. Any disputes arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts in the same jurisdiction.

By engaging Outsourced Employees from Vendor, you acknowledge that you have read, understood, and agreed to be bound by the terms and conditions outlined in this Agreement.
